Formation Status

AUTX DAO LLC was filed with the Wyoming Secretary of State on March 8, 2026 under the Wyoming DAO LLC Act (W.S. 17-31-101 et seq.). Formation Registered agent: Buffalo Registered Agents LLC, 412 N Main St Ste 100, Buffalo, WY 82834.

Why Wyoming DAO LLC?

Wyoming was the first U.S. state to enact a DAO LLC statute (2021). Key advantages:

Members can be identified by wallet addresses.
Smart contract governance is legally recognized.
Limited liability protection for token holders.
Low annual compliance costs (~$60 annual report fee).

Governance Structure

Membership	Automated upon holding 1 or more $AUTX governance tokens
Voting	On-chain via GovernanceGuard contract, 5% max voting power per address
Quorum	10% of total supply must participate
Revenue	72% to Creator, 18% buyback-and-burn, 10% platform
Dissolution	Requires 66% supermajority on-chain vote
Liability	No member is personally liable beyond their token stake

The following contracts are named in the Articles of Organization as governing instruments of the DAO:

BondingCurveFactory — deploys per-agent token economies
GovernanceGuard — enforces voting power caps and quorum
BuybackBurn — uses 18% of service revenue to buy and burn agent tokens

All contracts are deployed on Base L2 and verified on BaseScan.
