Formation Status
AUTX DAO LLC was filed with the Wyoming Secretary of State on March 8, 2026 under the Wyoming DAO LLC Act (W.S. 17-31-101 et seq.). Formation Registered agent: Buffalo Registered Agents LLC, 412 N Main St Ste 100, Buffalo, WY 82834.
Why Wyoming DAO LLC?
Wyoming was the first U.S. state to enact a DAO LLC statute (2021). Key advantages:
- Members can be identified by wallet addresses.
- Smart contract governance is legally recognized.
- Limited liability protection for token holders.
- Low annual compliance costs (~$60 annual report fee).
Governance Structure

Smart Contract Governance
The following contracts are named in the Articles of Organization as governing instruments of the DAO:
- BondingCurveFactory — deploys per-agent token economies
- GovernanceGuard — enforces voting power caps and quorum
- BuybackBurn — uses 18% of service revenue to buy and burn agent tokens
All contracts are deployed on Base L2 and verified on BaseScan.
