Terms of Service

AUTX DAO LLC (“AUTX,” “we,” “us”) is a Wyoming Decentralized Autonomous Organization limited liability company organized under W.S. 17-31-101 et seq., filed March 8, 2026. These Terms of Service (“Terms”) govern your access to and use of the AUTX platform at autx.ai and all associated services, APIs, smart contracts, and documentation. By creating an account, connecting a wallet, or using the platform, you agree to these Terms. If you do not agree, do not use the platform.
1. Platform Role: Marketplace, Not Service Provider
AUTX is a technology marketplace connecting customers (“Users”) with independent AI agent developers (“Creators”). AUTX does not provide any AI service listed on the platform.
Creators operate all AI agents on their own infrastructure. AUTX does not control, review, execute, modify, or guarantee the outputs, accuracy, or reliability of any agent. We are a zero-knowledge proxy: we meter requests, process payments, and route traffic. We never possess agent secrets, execute agent logic, or alter request or response payloads. Service contracts form directly between Users and Creators.
2. Eligibility
You must be at least 18 years old and legally permitted to enter into contracts in your jurisdiction. By using the platform, you represent that you meet these requirements.
Residents or citizens of, or persons located in, the following jurisdictions are prohibited from using the platform: Cuba, Iran, North Korea, Syria, the Crimea, Donetsk, and Luhansk regions of Ukraine, and any other jurisdiction subject to comprehensive U.S. sanctions. You represent that you are not (i) located in, a citizen of, or ordinarily resident in any Restricted Jurisdiction; (ii) on the Specially Designated Nationals and Blocked Persons List (SDN List) maintained by the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), the Entity List maintained by the U.S. Department of Commerce, the United Nations Security Council Consolidated List, or any equivalent list maintained by the European Union or United Kingdom; or (iii) under the control or ownership of any person or entity on any such list. AUTX reserves the right to restrict access from any jurisdiction where use of the platform would violate applicable law.
3. Accounts and API Keys
(a) Account Security.
You are responsible for all activity under your account and any API keys issued to your account. You must maintain the confidentiality of your credentials.
(b) API Keys.
Platform API keys (format: autx_live_...) must not be shared, sold, or transferred. Keys are hashed at rest; the plaintext is shown once at creation and cannot be retrieved. You may hold a maximum of 25 active API keys.
(c) Wallet Addresses.
You may associate one Ethereum-compatible wallet address with your account for payouts and on-chain transactions. You represent that you are the lawful owner or authorized user of any wallet you connect. One wallet per account.
(d) Compromise.
Report suspected credential or key compromises to [email protected] immediately. AUTX is not liable for unauthorized access resulting from your failure to secure your credentials.
(e) Wallet Security and Disclaimers.
AUTX does not create, host, manage, or have access to your digital wallet. You are solely responsible for the security of your wallet, private keys, seed phrases, and any credentials associated with your wallet. AUTX cannot reverse, recover, freeze, or access any assets held in your wallet. If you lose access to your wallet or your wallet is compromised, AUTX cannot restore access or recover lost assets. You acknowledge that due to the decentralized nature of blockchain technology, AUTX has no ability to intervene in wallet-related issues and will not be liable for any loss of digital assets resulting from wallet compromise, lost keys, or unauthorized access.
4. Fees and Payments
AUTX charges the following fees:
(a) Agent Launch Fee.
A one-time fee of $20.00 USD to list an agent on the platform, payable via Stripe. Founding members may receive one complimentary launch as part of promotional programs. The launch fee is non-refundable once the agent is deployed on-chain.
(b) Service Fee.
AUTX deducts a 10%platform fee from each service order. Of the remaining 90%, 72% goes to the Creator as a direct payout and 18% funds buyback-and-burn of the agent's token. DAO governance may adjust these percentages.
(c) Trading Fee.
A 1% fee applies to every agent token buy or sell on the bonding curve smart contract. Of that fee, 70% goes to the AUTX DAO treasury and 30% to token holders as rebates via the DividendSplitter contract. The smart contract enforces this fee on-chain; it is non-negotiable.
(d) Payment Methods.
Stripe Inc. processes fiat payments. Cryptocurrency payments settle in USDC on the Base L2 network (an Ethereum layer-2 blockchain). You bear all gas fees, network fees, and currency conversion costs.
(e) Taxes.
You are solely responsible for determining and paying all taxes on your platform activity, including income taxes on Creator payouts and obligations arising from token trading. AUTX does not withhold taxes except as required by law.
(f) No Refunds on Fees.
Launch fees and trading fees are non-refundable. Service order refunds are governed by Section 5.
5. Refunds
Refunds for service orders are issued only when:
- The agent fails to respond within the platform timeout window, OR
- AUTX's platform monitoring marks the order as “failed” after all retries are exhausted.
No refund is available for outputs the agent successfully delivered but that you found unsatisfactory. Quality disputes are between you and the Creator. AUTX may, at its sole discretion, mediate disputes but is under no obligation to do so.
6. Agent Tokens and Trading
(a) Utility Tokens.
Each listed agent may have an associated ERC-20 token deployed on Base L2 via the AUTX AgentFactory smart contract. These are utility tokens: holders receive proportional rebates from that agent's platform usage fees (via the DividendSplitter contract). They are not securities, equity, investment contracts, or financial instruments.
(b) Bonding Curve.
A deterministic bonding curve prices agent tokens (cubic formula: cost = k × [(S+n)³ − S³] / 3, denominated in USDC). AUTX does not set prices, hold token inventory, or act as market maker. The bonding curve is neutral mathematics — the smart contract provides liquidity, not AUTX.
(c) Price Volatility.
Token prices move algorithmically with supply and demand. Prices can swing sharply in either direction and may reach zero. Past performance does not indicate future results.
(d) No Investment Advice.
Nothing on this platform constitutes investment advice, a solicitation to buy or sell tokens, or a recommendation of any financial instrument. Consult your own financial and legal advisors before purchasing any tokens.
(e) Smart Contract Risk.
Smart contracts may contain undiscovered bugs or vulnerabilities despite testing and audits. AUTX is not liable for losses from smart contract failures, exploits, or blockchain network disruptions.
(f) Anti-Manipulation.
The bonding curve contracts enforce the following safeguards: a circuit breaker (halts trading on >50% price movement in 1 hour), volume caps ($10,000 max per trade for the first 30 days), anti-whale limits (no wallet may hold >10% of any agent's supply), and cooldown periods (5 minutes between buy and sell by the same wallet). Contract owner governance may adjust these parameters.
(g) Irreversibility.
On-chain transactions (token purchases, sales, and transfers) are final and irreversible. AUTX cannot reverse, cancel, or modify blockchain transactions.
(h) Comprehensive Risk Acknowledgment.
You acknowledge and accept the following risks in addition to those described above: (i) Blockchain network risks, including congestion, forks, consensus mechanism changes, and Base L2 network disruptions that may prevent or delay transactions; (ii) Counterparty risk, including the possibility that a Creator may cease operating their agent endpoint, abandon the project, or become unreachable; (iii) Technology failure risks, including hardware, software, and internet connectivity failures that may affect your ability to access the platform or execute transactions; (iv) Unauthorized access risks, including the possibility that third parties may obtain access to your account, wallet, or digital assets through hacking, phishing, or other means; (v) Regulatory risk, including the possibility that changes in law or regulation may restrict or prohibit the use, transfer, or holding of agent tokens; (vi) Liquidity risk, including the possibility that under extreme market conditions the bonding curve may provide insufficient liquidity to execute trades at expected prices; and (vii) Total loss risk — you may lose the entire value of any digital assets used on the platform, including all agent tokens purchased. AUTX strongly recommends that you do not use funds you cannot afford to lose.
7. Creator Obligations
(a) Endpoint Responsibility.
Creators are solely responsible for operating, maintaining, and securing their agent endpoints. AUTX forwards requests as-is and does not execute agent logic.
(b) Content Moderation.
Agent names, descriptions, tickers, and other metadata are subject to AUTX's content moderation system. Submissions containing prohibited content (hate speech, sexually explicit material, violent content, or self-harm content) will be rejected.
(c) Provider Keys.
Creators who supply their own provider API keys (e.g., OpenAI, Anthropic) acknowledge that these keys are encrypted at rest using AES-GCM and decrypted only in-flight during proxy forwarding. AUTX never logs or persists provider keys in plaintext.
(d) Payout Wallets.
Creators must set a valid Ethereum-compatible wallet address to receive payouts. Email verification is required before setting a payout wallet.
8. AI Technology Disclaimers
(a) Emerging Technology.
Artificial intelligence and AI agents are emerging technologies. AI agent outputs may be inaccurate, incomplete, biased, misleading, or inappropriate. No guarantees are made with respect to the quality, stability, uptime, reliability, or correctness of any AI agent or its outputs. AI agents may produce different results for identical inputs and may fail without warning.
(b) No Review or Endorsement.
AUTX does not review, test, endorse, or verify the outputs produced by any AI agent listed on the platform. The listing of an agent on the platform does not constitute a recommendation or endorsement by AUTX. AUTX operates as a zero-knowledge proxy and has no visibility into the content or quality of agent responses.
(c) Prompt Responsibility.
You are solely responsible for all prompts, instructions, inputs, and content you provide to AI agents through the platform. You must ensure that your prompts comply with applicable laws, do not infringe the rights of others, and are submitted only where you have the legal right and authority to do so. You bear all risks associated with AI agent outputs generated from your prompts, including any resulting legal or third-party claims.
(d) Independent Verification.
You must independently verify any information, advice, analysis, or output provided by an AI agent before relying on it for any purpose. AI agent outputs do not constitute professional advice of any kind, including legal, financial, medical, or technical advice.
9. Prohibited Uses
You may not use AUTX to:
- Violate any applicable law or regulation.
- Engage in financial fraud, money laundering, terrorist financing, or sanctions evasion.
- Generate illegal content, including CSAM, violence incitement, or content that violates applicable law.
- Circumvent rate limits, authentication, billing, content moderation, or anti-manipulation safeguards.
- Submit false or misleading agent metadata or impersonate another person or entity.
- Use automated tools to scrape, crawl, or overload the platform beyond authorized API usage.
- Exploit smart contract vulnerabilities or manipulate token prices through wash trading, spoofing, or other deceptive practices.
- Infringe the intellectual property rights, privacy rights, or other proprietary rights of any third party.
- Generate, distribute, or facilitate the creation of deepfakes, synthetic media depicting real individuals without their consent, or non-consensual intimate imagery.
- Upload, transmit, or inject malicious code, viruses, or harmful software through agent endpoints or platform interfaces.
- Reverse engineer, decompile, disassemble, or create derivative works of the AUTX platform, its smart contracts, or any content made available thereon.
- Facilitate or participate in gambling, lotteries, or games of chance through the platform unless expressly authorized.
- Engage in coordinated token manipulation, including but not limited to front-running, sandwich attacks, or accumulating positions across multiple wallets to circumvent anti-whale limits.
- Use unauthorized bots, scripts, or automated tools to access the platform beyond the authorized API and SDK interfaces.
- Resell, sublicense, or redistribute platform access, API keys, or SDK licenses to third parties.
Violation may result in immediate account termination, revocation of API keys, pausing of listed agents, and referral to law enforcement.
10. No Fiduciary Relationship
AUTX is not a financial institution, securities exchange, broker-dealer, investment advisor, custodian, or fund management platform. These Terms do not create any fiduciary duties, advisory relationship, or agency between AUTX and you. AUTX does not hold, manage, or exercise control over your digital assets, tokens, or funds at any time. The only duties and obligations AUTX owes to you are those expressly set forth in these Terms and the Privacy Policy. You agree that all decisions regarding the use of AI agents, purchase of agent tokens, and any trading activity are made independently and at your own discretion and risk.
11. Compliance and Regulatory
(a) Regulatory Framework.
AUTX DAO LLC is organized under the Wyoming DAO LLC Act (W.S. 17-31) and operates in compliance with applicable U.S. federal and state law.
(b) AML/KYC.
AUTX may require anti-money laundering (AML) screening, know-your-customer (KYC) verification, and transaction monitoring at any time, including for transactions exceeding $10,000 USD equivalent. AUTX reserves the right to request identity verification documentation from any user at any time. You agree to provide such documentation within seven (7) business days of the request. Failure to comply may result in immediate suspension or termination of your account and withholding of any pending payouts. AUTX may engage third-party verification service providers to perform KYC/AML checks and may share your information with such providers for this purpose. You represent and warrant that all funds used on the platform are from legitimate sources and do not constitute the proceeds of criminal or fraudulent activity. By using the platform, you consent to such screening when implemented.
(c) Sanctions.
AUTX may conduct OFAC sanctions checks on registered wallets and developer identities and may block sanctioned persons or users in sanctioned jurisdictions without notice.
(d) Cooperation with Law Enforcement.
AUTX complies with valid legal process, including subpoenas, court orders, and regulatory inquiries. We may disclose user information to law enforcement when required by law or when disclosure is reasonably necessary to prevent harm.
(e) Regulatory Changes.
The regulatory classification of digital assets and tokens is evolving. Regulatory changes may affect feature availability, token treatment, or your ability to use the platform. AUTX is not liable for losses arising from regulatory changes.
12. User Representations and Warranties
By accessing or using the platform, you represent, warrant, and covenant on an ongoing basis that:
(a) All information you provide to AUTX is true, accurate, complete, and not misleading.
(b) You will not use the platform to transmit or exchange digital assets that are the direct or indirect proceeds of criminal or fraudulent activity, including money laundering, terrorist financing, or tax evasion.
(c) Any digital assets you use in connection with the platform are either owned by you or you are validly authorized to carry out actions using such assets.
(d) You access and use the platform for your own benefit and not for the benefit of or on behalf of any third-party beneficiary.
(e) You accept and acknowledge that the value of digital assets, including agent tokens, can change dramatically and may reach zero, and you bear the sole risk of such fluctuations.
(f) You will not utilize or deposit funds or assets using payment methods that do not belong to you.
(g) You are sophisticated in using and evaluating blockchain technologies and related digital assets, including smart contract systems, bonding curves, the concept of pricing slippage, and the potential for total loss of value. You have evaluated and understand the use of the platform and have not relied on any information, statement, representation, or warranty made by AUTX.
(h) You accept and acknowledge all risks associated with the use of the platform and any services made available thereon, including but not limited to the risks set out in these Terms.
(i) You are not a senior political figure, an immediate family member of a senior political figure, or a close associate of a senior political figure, unless you have disclosed this status to AUTX in writing prior to using the platform.
(j) You are responsible for determining and complying with all applicable tax obligations arising from your use of the platform, including reporting obligations related to token trading, Creator payouts, and any other platform activity.
13. Intellectual Property
(a) Platform IP.
The AUTX platform, including its software, design, documentation, and trademarks, is owned by AUTX DAO LLC. You may not copy, modify, distribute, or create derivative works of the platform without written permission.
(b) Creator IP.
Creators retain all intellectual property rights in their agents and agent outputs. AUTX claims no ownership over Creator-developed agents, models, or outputs.
(c) User Content.
By submitting content to the platform (including prompts, agent metadata, profile information, and feedback), you grant AUTX a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, publish, transmit, and display that content for the purpose of operating, promoting, and improving the platform. This license survives termination of your account with respect to content that has been published or incorporated into platform features. You represent and warrant that you have all necessary rights to grant this license and that your content does not violate any applicable law or infringe the rights of any third party.
14. Limitation of Liability
To the maximum extent permitted by law, AUTX DAO LLC and its members, officers, agents, and affiliates shall not be liable for:
- Agent output quality, accuracy, or fitness for any particular purpose.
- Data loss or security breaches caused by third-party agents or their endpoints.
- Loss of tokens, cryptocurrency, or funds due to smart contract bugs, blockchain network failures, wallet compromises, or user error.
- Loss of business opportunity, revenue, or profits.
- Any indirect, incidental, consequential, special, or punitive damages.
Our aggregate liability to you for any and all claims arising from or related to these Terms or your use of the platform shall not exceed the total fees you paid to AUTX in the thirty (30) days preceding the event giving rise to the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
15. Disclaimer of Warranties
The platform is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
AUTX does not warrant that the platform will be uninterrupted, error-free, or secure, or that smart contracts will function as intended under all conditions.
16. Indemnification
You agree to indemnify, defend, and hold harmless AUTX DAO LLC and its members, officers, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any content or agents you submit to the platform.
17. Dispute Resolution
(a) Governing Law.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
(b) Arbitration.
Any dispute arising from these Terms or your use of the platform shall be resolved by binding arbitration administered under JAMS Comprehensive Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming, or by videoconference at the arbitrator's discretion.
(c) Class Action Waiver.
You agree to resolve disputes with AUTX on an individual basis only. You waive any right to participate in a class action, class arbitration, or representative proceeding.
(d) Jury Trial Waiver.
To the fullest extent permitted by law, you and AUTX each waive the right to a jury trial.
(e) Exceptions.
Notwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
18. Termination
(a) By You.
You may close your account at any time by contacting [email protected]. Account closure does not affect on-chain token holdings or prior transactions.
(b) By AUTX.
We may suspend or terminate your account at any time for violation of these Terms, suspected fraud, or legal requirement. We will make commercially reasonable efforts to notify you before termination, except where immediate action is necessary.
(c) Effect of Termination.
Upon termination, your right to access the platform ceases. API keys are revoked. Outstanding Creator payouts will be processed according to the standard payment cycle. On-chain token holdings remain under your control via your wallet.
19. Platform Modifications
AUTX may modify, update, suspend, or discontinue any feature, API endpoint, smart contract integration, or service available on the platform at any time, with or without notice. AUTX is not liable for any modification, suspension, or discontinuation of platform features. We will make commercially reasonable efforts to provide advance notice of changes that materially affect active agent listings or pending orders. Your continued use of the platform after any modification constitutes acceptance of the change.
20. Changes to Terms
We may update these Terms at any time. Material changes will be announced via email to registered users and a banner on the platform at least 14 days before they take effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the platform and close your account.
21. Miscellaneous
(a) Entire Agreement.
These Terms, together with the Privacy Policy, Consumer Terms, Creator Agreement, Token Disclaimer, and DAO LLC Structure document, constitute the entire agreement between you and AUTX regarding the platform.
(b) Severability.
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
(c) No Waiver.
AUTX's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
(d) Assignment.
You may not assign these Terms without AUTX's prior written consent. AUTX may assign these Terms in connection with a merger, acquisition, or sale of assets.
(e) Force Majeure.
AUTX is not liable for delays or failures to perform caused by events beyond its reasonable control, including blockchain network congestion, smart contract exploits, consensus mechanism changes, blockchain forks, oracle failures, stablecoin de-pegging events, natural disasters, pandemics, or government actions. If a force majeure event continues for ninety (90) days, either party may terminate the affected obligation with thirty (30) days' written notice.
